AGM Report

Vancouver, B.C. – Thursday, October 21^st, 2010

Pro Minerals Inc. (TSX.V: PRM); and its Board of Directors are pleased to report that all of Management’s proposed recommendations submitted for approval by the Company’s shareholders at the Company’s Annual and Special General (“AGM”) held October 19, 2010 were approved.

Patrick D. O’Brien ICD.D, Ian Casidy and Christopher B Chu LLB were all re-elected to the Board of Directors with each receiving an average of 98% of the votes cast. Shareholders also received and approved the Report of the Directors, the audited financial statements and auditor’s report and the appointment of the auditors for the ensuing year and remuneration of the auditors. Disinterested shareholder approval was obtained for the amendment to the Company’s stock option plan increasing the number of shares which may be issued pursuant to the plan, the grant to stock options from time to time during the next 12 months, to a single optionee that may exceed 5% of the Company’s issued shares or to insiders, as a group, that in aggregate may exceed 10% of the Company’s issued shares.  The Company also obtained approval for the adoption of the Shareholder’s Rights Plan proposed by management.  There was no new business arising at the meeting.
